Terms of Service

By accessing or using Flip Mode, a product of Roswell Creative Group ("we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service. We reserve the right to update these Terms at any time; continued use of the Service constitutes acceptance of the revised Terms.

Flip Mode is an asset resale and management platform that allows users to track investments, manage photos, obtain AI-powered advice, generate marketplace listings, and analyze profitability across flipped assets including vehicles, real estate, collectibles, and equipment.

To access certain features of the Service, you must create an account via our OAuth sign-in provider. You agree to provide accurate and complete information and to keep your account credentials secure. You are responsible for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized use of your account.

Flip Mode offers free and paid subscription tiers. Paid plans are billed on a monthly or annual basis and are processed securely through Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis until you cancel. You may cancel your subscription at any time from the billing settings within the Service. Cancellations take effect at the end of the current billing period; no partial refunds are issued for unused time unless required by applicable law.

You agree not to use the Service to:

• Violate any applicable law or regulation.
• Upload or transmit content that is unlawful, harmful, defamatory, obscene, or otherwise objectionable.
• Attempt to gain unauthorized access to any part of the Service or its related systems.
• Reverse engineer, decompile, or disassemble any portion of the Service.
• Use automated means (bots, scrapers, crawlers) to access or interact with the Service without our prior written consent.
• Resell, sublicense, or otherwise commercialize access to the Service without our express written permission.

You retain ownership of all content you upload or create within the Service, including flip records, photos, and notes ("User Content"). By submitting User Content, you grant Roswell Creative Group a limited, non-exclusive, royalty-free license to store, display, and process your content solely for the purpose of providing the Service to you. We do not claim ownership of your data and will not share it with third parties except as described in our Privacy Policy.

The Service includes AI-powered features such as flip advice, market comparisons, and listing generation. AI-generated content is provided for informational purposes only and does not constitute financial, legal, or professional advice. You are solely responsible for any decisions made based on AI-generated output. We make no warranty regarding the accuracy, completeness, or fitness for a particular purpose of any AI-generated content.

All rights, title, and interest in and to the Service — including its design, code, trademarks, and content (excluding User Content) — are and remain the exclusive property of Roswell Creative Group. Nothing in these Terms grants you any right to use our trademarks, logos, or brand features without our prior written consent.

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

To the fullest extent permitted by applicable law, Roswell Creative Group shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Service, even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you paid us in the twelve months preceding the claim.

We reserve the right to suspend or terminate your account at our sole discretion, with or without notice, if we believe you have violated these Terms or if required by law. Upon termination, your right to use the Service will immediately cease. You may also delete your account at any time by contacting us at [email protected].

These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in New Mexico.
